Describe the working relationship
Before drafting starts, explain what each party will actually do. Identify the deliverables, dependencies, key contacts and intended timetable. Concrete examples of a successful delivery are more useful than broad statements about quality or cooperation.
Make the commercial assumptions visible
Record pricing assumptions, payment milestones and how changes to scope will be discussed. Ask the operational team where delays, unclear handovers or competing expectations could arise. Share these concerns with the people preparing and reviewing the agreement.
Plan beyond the signature
Assign an internal owner to keep the final agreement accessible and track commercial milestones. Give the delivery team a practical handover explaining what has been agreed. Questions about contractual rights, liability or enforceability should be addressed with the relevant advisors during the review process.
