Create an organised starting point

Preparing for diligence starts with understanding where information lives. Identify the owners of corporate records, key agreements, financial information and operational documents. Ask the transaction advisors to define the scope before collecting material so that the work stays focused.

Keep questions and versions under control

Use an agreed document index and a central question tracker. Mark the current version of each document and record who is responsible for answering each request. Agree access arrangements with your team before sharing confidential business information.

Explain gaps early

Missing records and inconsistent descriptions are easier to address when they are identified early. Record what is available, what needs clarification and who will follow up. Preparation does not determine a transaction’s outcome, but it gives the business and its advisors a clearer basis for discussion.
